Terms & Conditions of Carriage (Clause Terms)**
 
1. Definitions
•Carrier means Xiamen Han-Hang Logistics Co., Ltd.
•Merchant includes the Shipper, Consignee, Notify Party, and the owner of the goods.
•Goods means the cargo described in this Bill of Lading.
•Container includes any equipment such as containers, trailers, pallets, and other devices used for transport.
 
 
2. Carrier’s Responsibility
 
The Carrier acts as a Non-Vessel Operating Common Carrier (NVOCC).
The Carrier is responsible only for the period during which the Goods are in its actual custody and control.
 
The Carrier may perform the carriage by any means including sea, road, rail, air, or multimodal transport.
 
 
3. Sub-Contracting
 
The Carrier may subcontract the whole or any part of the carriage to other carriers, including vessel-operating carriers, trucking companies, airlines, port operators, or warehouse operators.
 
All subcontractors shall have the benefit of these Terms & Conditions.
 
 
4. Limitation of Liability
 
The Carrier’s liability shall not exceed:
•USD 500 per package, or
•USD 2.00 per kilogram of gross weight,
whichever is lower, unless declared value is accepted and paid for.
 
These limits follow international conventions for multimodal transport including Hague-Visby Rules.
 
 
5. Delay, Loss, or Damage
 
The Carrier is not liable for loss, damage, or delay arising from:
•Act of God, force majeure, or natural disasters
•War, riots, strikes, or civil commotion
•Insufficient packing, labeling, or marks
•Acts or omissions of the Merchant
•Latent defects of the Goods
•Theft or pilferage not caused by Carrier negligence
•Customs authorities’ actions
 
 
6. Notice of Loss
 
Written notice must be given to the Carrier:
•Within 3 days of delivery for visible damage
•Within 7 days of delivery for hidden damage
•Claims must be submitted within 9 months of the date of delivery
 
Failure to provide notice within this period releases the Carrier from liability.
 
 
7. Freight & Charges
 
Freight is earned upon receipt of the Goods and is non-returnable, even if Goods are lost or damaged.
All charges must be paid by the Merchant including:
•Freight
•Storage
•Demurrage
•Detention
•Port charges
•Customs penalties
 
 
8. Container Stowage & Inspection
 
The Carrier may open, inspect, or weigh any container at any time.
If the weight declared by the Merchant is incorrect, the Merchant is responsible for all fines, penalties, and additional charges.
 
 
9. Dangerous Goods
 
Shipper must declare hazardous cargo in writing.
Failure to declare dangerous goods allows the Carrier to:
•Reject the cargo
•Offload or destroy the cargo without compensation
•Recover all losses, damages, and fines from the Merchant
 
 
10. Delivery
 
Delivery is deemed complete when the Goods are delivered to the Consignee, port terminal, customs warehouse, or any place designated in the Bill of Lading.
 
The Carrier shall not be liable for delivery to a misrepresented person.
 
 
11. Lien
 
The Carrier has the right to retain the Goods until all outstanding freight and charges are fully paid.
If unpaid, the Carrier may sell the Goods at the Merchant’s cost and risk.
 
 
12. Law & Jurisdiction
 
This Bill of Lading is governed by:
•Chinese Maritime Law
•International conventions applicable to multimodal transport
Any dispute shall be resolved by the courts of Xiamen, Fujian, China, unless the Carrier chooses another jurisdiction.
 
 
13. Carrier’s Rights
 
The Carrier may:
•Route the cargo by any vessel or mode
•Transship, unload, reload, or restow the cargo
•Use substitute vessels or carriers
•Deviate for safety or navigation reasons
 
 
14. Entire Agreement
 
These Terms & Conditions form part of the Bill of Lading and supersede all previous agreements unless expressly agreed in writing.
 
 
15. Validity & Severability
 
If any clause is found unenforceable, the remaining clauses remain valid.
